Hi,
I want to make NDA for my new recruits, who will be developing documents for my clients. I am a sustainability consultant. 
I wish to know the process by which I can maintain secrecy of my client data. 
What are the steps in execution of NDA without going to any office? Only signatures or notary or registration? Everything virtual.
The draft prepared can be used for multiple recruits.

- A non-disclosure agreement (NDA), also known as a confidentiality agreement, and it is a legally binding contract in which one party agrees to give a second party confidential information about its business or products and the second party agrees not to share this information with anyone else for a specified period of time

- Since it is an agreement , then you like other agreements , you can register it from the office of the Registrar , however registration is not mandatory

The NDA can be signed by the parties digitally using docu sign software 

My professional fee for drafting the NDA contract is Rs 10000/- 

Optionally you may also get the document signed before a notary public which is quite easy. Notary fee would be around 300 to 500. The notary public has to assign a serial number to the document so as to collate it with the entry made by him in the tutorial register. The notary fee widely varies among different notaries despite the fees being fixed under the notaries act. A good honest notary would however charge reasonably as above. 

Registration of a NDA is not required

Non-Disclosure Agreements (NDAs) establish protections for confidential or proprietary information that must be shared. 

Typically, a legal professional writing the NDA will complete these steps:


  • Step 1 - Describe the scope. Which information is considered confidential? Often, NDAs require a catch-all clause that ensures any information remains private that a “reasonable person” would assume should be confidential. 

  • Step 2 - Detail party obligations. What should the party that receives the information do to keep it confidential? How will they prevent third-parties from gaining access?

  • Step 3 - Note potential exclusions. When can a party share confidential information? What information is already excluded from the definition of confidential information? Legal proceedings and the use of subcontractors represent situations where disclosure may be warranted.

  • Step 4 - Set the term. Disclosing parties may want the agreement to last forever, but the receiving parties often desire a time limit. The interests of both parties must be considered when setting the term; there should be no ambiguity regarding the duration of confidentiality.

  • Step 5 - Spell out consequences. Will a breach result in the termination of employment or of a business relationship? Can the aggrieved party seek an injunction or even damages in court? 

You may prepare the NDA by yourself if you are conversant with the provisions of law that can be included kin appropriate places of the agreement or can take the help of a consultant/advocate.
