Interest in demand and claim clause in sale agreement

Hi, I am a buyer of the property In Pune and seller is asking to put below clause in the agreement. Is it fine? 1. The Purchasers confirm that prior to execution of these presents they have verified the title of the Vendor to the said Holding. The Purchasers, in pursuance of having carried out their due diligence, title investigation and inspection of documents and physical inspection of the said premises, are completely satisfied with the right, title and interest of the Vendor and the condition of the said premises. 2. The Vendor has agreed to assign and transfer to the Purchasers and the Purchasers have agreed to purchase and acquire from the Vendor all the right, title and interest of the claim and demand of the Vendor, which is assured to be clear, marketable and free from all encumbrances whatsoever and which is held on what is known as "Ownership Basis" into, upon and under the said Holding by means of transfer of the same at or for the lump sum price of Rs. 1,1200,000/- (One Crore twelveLakhs Only) and on the terms and conditions herein contained.
