• Clarification on Solicitation/Poaching of Employees

Hi, I am partner in a manpower recruitment firm having below clause with one of the client.

"During the term of this agreement and for one (1) year after its termination, Supplier shall not directly or indirectly solicit for employment any partner, principal or employee of the Company, or of any successor-in-interest to the Company or Company's Network Firms, involved in the performance of this agreement."

Please clarify below point.
- Non Solicitation clause applicable to All employees of the company or only on employees involved in the performance of the contract. (Like HR/Legal Persons).

The clause is general that 'employee of the company', in that it covers employees in general and not any particular class of employees or a specific category of employees.
